Terms of Service
1. Acceptance of the Agreement
By accessing the planobinario.com web infrastructure or contracting the engineering and software development services of PlanoBinario (hereinafter, “the Agency”), you assume the condition of Client and unconditionally accept the clauses detailed in this Service Level Agreement (SLA) and these Terms of Service.
If you are acting on behalf of a corporation, you warrant that you have the technical and legal authority to bind said entity to this agreement.
2. Scope of Engineering Services
PlanoBinario specializes in the development of Headless architectures, Serverless infrastructures (Edge computing), and high-performance full-stack development.
- Agency Obligations: We commit to delivering clean, scalable code that adheres to current tech industry standards (ISO/IEC 25010 to the extent possible), applying CI/CD (Continuous Integration and Deployment) practices.
- Client Obligations: The Client must provide timely access to repositories, APIs, environment credentials, and necessary documentation so as not to block the development pipelines.
3. Intellectual Property and Code Licensing
At PlanoBinario, we believe in source code transparency:
- Delivered Code: Unless otherwise specified in the SOW (Statement of Work), the Client receives an exclusive, perpetual, and global license to the custom source code developed specifically for their project, once the payment has been 100% cleared.
- Codebase and Dependencies: The Agency retains the rights to internal tools, boilerplates, or pre-existing open-source libraries used to accelerate development. These components are licensed to the Client on a non-exclusive basis.
4. Service Level Agreement (SLA) and Warranties
- Uptime and Deployment: PlanoBinario utilizes third-party infrastructures (such as Vercel, Cloudflare, AWS). We do not guarantee 100% uptime if the outage is caused by our providers (IaaS/PaaS).
- Post-Deployment Warranty: All our custom projects include a technical warranty period of 30 days after the push to Production. During this time, any critical-level “bug” or code error developed by us will be patched at no additional cost.
- Exclusions: This warranty is immediately voided if an external engineer, an employee of the Client, or a third-party tool modifies the source code on the main branch (
main/master) without PlanoBinario’s supervision.
5. Limitation of Liability
Under no circumstances, and under no legal theory (tort, contract, negligence, or otherwise), shall PlanoBinario be liable to the Client for indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data loss, business interruption, or failures in integrated payment gateways.
PlanoBinario’s maximum technical and financial liability shall be strictly limited to the total amount paid by the Client during the last three (3) months of service.
6. Third-Party Tools Integration
Modern architecture requires integration with third-party APIs (Stripe, Sanity, OpenAI, etc.). PlanoBinario is not responsible for:
- Sudden deprecations of third-party APIs (Breaking changes).
- Data breaches caused within the infrastructures of such third parties.
- Price increases imposed by SaaS providers utilized in the Client’s architecture.
7. Jurisdiction and Dispute Resolution
This contractual code is governed by the laws of the Kingdom of Spain. Any architectural, technical, or legal discrepancy will be submitted in the first instance to technical arbitration, and if unresolved, to the Courts of the city of Madrid, Spain.
